“Curaleaf Makes Bid for Aurora Cannabis in Global Expansion”

A U.S. cannabis company has made a bid to acquire Aurora Cannabis Inc., based in Edmonton. Aurora has formed a special committee to review the unsolicited offer from Curaleaf Holdings Inc. The potential acquisition aims to create a global cannabis entity spanning 17 countries across Europe, North America, and other markets.

Curaleaf, headquartered in Stamford, Conn., went public with its proposal after unsuccessful private negotiations with Aurora. The bid involves offering Aurora shareholders $4 US per share, in addition to $0.75 US cash for each Aurora share.

Aurora acknowledged receiving letters from Curaleaf outlining the acquisition proposals but disputed Curaleaf’s claim that it refused to engage. Aurora’s independent director communicated with Curaleaf’s CEO as of July 24, expressing a focus on executing its business plan and not discouraging ongoing dialogue.

Aurora will establish a special committee of independent directors to assess the proposal’s viability and alignment with stakeholders’ interests. The company emphasized that a deal is not guaranteed, and business operations will continue as usual during the evaluation process.

While recognizing Curaleaf’s interest, analysts at TD Cowen believe the current offer undervalues Aurora’s long-term potential. They highlighted Aurora’s market leadership in medical cannabis, product portfolio quality, strong financial standing, and adeptness in navigating international regulations as factors potentially creating more significant value over time.

Curaleaf sees the merger as a means to unlock value by leveraging its global distribution network alongside Aurora’s strong international medical cannabis presence and production capabilities. The companies have collectively generated over $1.5 billion US in revenue in the past year, with Curaleaf anticipating at least $40 million US in annual cost synergies from the proposed acquisition.

Curaleaf’s CEO expressed confidence that the merger would benefit both Curaleaf and Aurora shareholders by providing a diversified global platform and increased exposure to favorable U.S. regulatory trends.
